We focus on delivering bespoke, innovative digital solutions for small and medium businesses. Our core competencies include web design, web development, app design, hosting, and domain management, among others.
3.2 For clarity, references in these Terms to “AutoReel,” the “Website,” or the “services” mean the services and resources available through www.autoreel.co.uk or any associated websites or applications that we operate.
Acceptable Use of the Site and Services
1.1 License Grant: Users who have reached the legal age of majority (usually 18, unless local law permits a lower age) are hereby granted a limited, revocable, non-transferable, non-exclusive, and non-sublicensable license to access the AutoReel Website and use our services, provided that such usage is in compliance with these Terms.

2.1 Any designs, ideas, copywriting, drawings, or code created by us (AutoReel / Element Softworks Ltd) for your use is licensed on a one-time-only basis and may not be reused, redistributed, or modified without our prior written consent.
Modifications and Changes
3.1 After you sign off on design or functionality, minor tweaks are allowable. Significant changes may incur additional charges at our standard hourly rate.
3.2 We produce timelines and quotes based on estimated completion times. We are not liable for project overruns caused by revisions or unforeseen circumstances.
Subscription Model and No Refunds
4.1 Subscription-Based Service: AutoReel operates on a subscription model, which may include monthly or annual billing.
4.2 No Refunds: All fees and charges are non-refundable, including setup fees, subscription fees, or other charges. This applies regardless of whether you choose to discontinue the service before your subscription term ends.
4.3 You agree to pay all subscription fees and related costs on time and in accordance with the payment schedule communicated to you at the time of purchase.
Content Supply and Production
5.1 You are responsible for providing photographic or illustrative content as needed. If we produce additional creative content for your subscription, that will be outlined separately, and additional charges may apply.
Cost and Payment
6.1 We may require periodic or milestone-based payments for your chosen subscription plan. Work may not commence or continue until these payments are received.
6.2 We may charge for travel or accommodation if onsite visits are required. Work on weekends or holidays may incur increased rates.
6.3 Payment is due within 30 days of receiving an invoice. Late payments may result in suspension or termination of services.
6.4 We may apply a “rush fee” if you request expedited work that exceeds our standard availability.
Payment Method
7.1 Payments can be made by credit card or debit card, and you must provide current, complete, and truthful billing information.
7.2 Subscription payments may be processed automatically (e.g., recurring billing) based on your initial authorization.
Source Files
8.1 Payment for design and development work does not include the release of source files (e.g., PSD, AI, INDD, PNG, FLA, raw code).
8.2 If you require source files for any reason, a separate agreement or buy-out charge will apply.
Default in Payment
9.1 If an invoice remains unpaid for 30 days, we may deem your account to be in default. We reserve the right to remove your material from our systems until outstanding amounts are paid in full.
9.2 This does not relieve you of any obligation to pay the due amount.
Copyright and Trademarks
10.1 You are responsible for having the appropriate copyright or ownership for any content you provide.
10.2 Any content (text, images, or artwork) created by us remains the property of AutoReel (Element Softworks Ltd) unless otherwise agreed in writing.
10.3 You grant us permission to use your project (or elements of it) for marketing or promotional purposes unless otherwise agreed in writing.
Termination
11.1 Either party may terminate this agreement by giving the other party three (3) months’ written notice.
11.2 We may terminate the agreement immediately if:
We suspect illicit or suspicious activity.
You have overdue payments.
Your actions violate our moral code or obligations under law.
11.3 If terminated, you remain liable for any outstanding payments.
Disclaimer and Limitations of Liability
1.1 The AutoReel Website and services are provided on an “as is” and “as available” basis. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
1.2 We shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or relating to your use of the Website or any service.
1.3 Certain laws may not allow the limitation of implied warranties. If these laws apply, some or all of the above disclaimers may not apply to you.
Severance
2.1 If any term in these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, that term shall be deemed severed, and the remaining provisions shall continue in full force and effect.
No Waiver
3.1 Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.
Indemnification
4.1 You agree to indemnify and hold harmless AutoReel (Element Softworks Ltd), its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms or misuse of the services.
Dispute Resolution
5.1 Any disputes arising under or in connection with your use of the AutoReel services (in a consumer capacity) shall be resolved through binding arbitration. You agree to waive any right to bring or participate in a className action against us.
5.2 Notwithstanding the above, we may bring an action against you in a local, state, or federal court if necessary.
Governing Law
6.1 These Terms are governed by and construed in accordance with the laws of the United Kingdom. You agree that any legal action or proceeding shall be brought in the exclusive jurisdiction of the UK courts.
